By accessing and using Optivise’s services at [optivise.io] (“the Service”), provided by Optivise (“Optivise,” “we,” “us”), you (“the User,” “you,” “Seller”) agree to comply with and be bound by these terms and conditions (“Terms”). If you do not agree to these Terms, do not use the Service.

Optivise reserves the right to change, modify, or revise these Terms at any time. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

3. Registration and Account Security

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated.

4. User Conduct

You agree not to use the Service to:

  • Violate any laws or regulations;

5. Acceptable Use Policy (AUP)

5.1 Ethical and Responsible Use

The ethical and responsible use of Optivise is paramount. All Users must adhere to our Acceptable Use Policy (AUP).

5.2 Foundational AI Models

Optivise’s services leverage foundational AI large language models developed or hosted by third parties. Users must:

  • Use these models for their intended purpose: product listing optimization for Mirakl or similar marketplaces;
  • Refrain from generating harmful, deceptive, or unlawful content;
  • Respect any additional terms, guidelines, or policies provided by Optivise or our AI service providers;
  • Ensure that any data or content used with the models does not violate privacy laws, intellectual property rights, or other legal standards.

5.3 Violations and Mitigations

  • Notifications: If we determine you are in violation of the AUP, we will notify you. You may have an opportunity to correct the issue or file an appeal if you believe it was in error.
  • Suspension & Termination: Depending on severity, violations may result in temporary suspension or permanent termination of your Optivise account.
  • Feedback System: We encourage all Users to report content or actions they deem questionable or in violation of the AUP.
  • Continuous Review: We routinely update our AUP to stay aligned with evolving standards and feedback.

6. User Responsibility and Liability

Sellers (Users) are solely responsible for all content they create or optimize using Optivise. While Optivise provides AI-driven suggestions, it is the Seller’s duty to:

  • Verify the accuracy, legality, and compliance of all product listings (including titles, descriptions, facets, images, translations) before publishing.
  • Ensure all product information meets the requirements of relevant marketplaces, as well as any applicable national or international laws.
    Optivise does not guarantee content compliance and disclaims any liability arising from inaccurate, incomplete, or unlawful listings. By using the Service, you acknowledge and agree that you bear full responsibility for any consequences resulting from the content you choose to upload or publish.

7. Data Protection and Privacy

7.1 GDPR (General Data Protection Regulation)

For Users in the EU/EEA:

  • You may request access to, correction, or deletion of your personal data.
  • You can object to or restrict the processing of your data, or request data portability.
  • You have the right to withdraw consent at any time if processing is based on consent.
  • You have the right to lodge a complaint with a data protection authority if you believe your rights are violated.

7.2 CCPA (California Consumer Privacy Act)

For California residents:

  • You have the right to know which personal data is collected and how it’s shared.
  • You can request deletion of your personal data, subject to certain exceptions.

You retain ownership of the content you create using Optivise. However, by using the Service, you grant Optivise a perpetual, non-exclusive, transferable, sub-licensable, royalty-free, global license to use, store, display, reproduce, modify, create derivative works, and distribute your content only for the purpose of operating and improving the Service.

Your use of Optivise is also governed by our Privacy Policy, which is provided below or otherwise made available on our website.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Optivise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising from:

  • Your access to, use of, or inability to use the Service;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any other matter relating to the Service.

12. Termination

Optivise may terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that violates these Terms, is harmful to other Users or to Optivise, or otherwise damages our business or reputation.

13. Governing Law

These Terms and any dispute arising out of or in connection with these Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict-of-law principles.
